These Website Terms and Conditions (“Terms”) are an agreement between you and Valuari Sleep and Bloom LLC, doing business as Valuari Sleep & Bloom (“Valuari,” “we,” “us,” or “our”).
These Terms govern your access to and use of valuarisleep.com, including its pages, booking features, accounts, consultations, communications, digital products, gift cards, educational materials, and related products and services collectively referred to as the “Website” or “Services.”
By accessing or using the Website, creating an account, booking an appointment, purchasing a product or Service or otherwise indicating your agreement, you acknowledge that you have read and agree to:

Our Privacy Policy; and
-
Any service description, checkout terms, order confirmation, or separate client agreement applicable to your purchase.
Do not use the Website or purchase Services if you do not agree to these terms.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our Services.
When requesting Services concerning a child, you represent and warrant that:

You are the child’s parent or legal guardian, or you have authorization from the child’s parent or legal guardian;

You have authority to make decisions concerning the child’s routines and care;

Your participation does not violate a custody order, parenting agreement, court order, or other legal restriction; and
-
You will coordinate recommendations with the child’s other parents, guardians, caregivers, and health care providers when appropriate.
Valuari does not mediate custody, parenting, or caregiver disputes.
The Website is intended for adults. Children under 13 may not create an account, purchase Services, subscribe to communications, or submit personal information directly to us.
2. Our Services
Valuari provides non-clinical education, consulting, and coaching that may include:

Prenatal and newborn sleep education;

Infant and toddler sleep consulting;

Twin sleep support;
-
Sleep support for children with special needs;
-
Postpartum education and non-clinical coaching;
-
Potty-learning and potty-training guidance;
-
Sleep assessments and personalized educational plans;

Consultations, follow-up sessions, and messaging support;
-
Digital guides, planners, courses, trackers, checklists, and downloads;
-
Gift cards; and
-
Other family education products or Services described on the Website.
The price, duration, eligibility requirements, communication period, response times, and included features of a Service are those disclosed on the applicable service page, checkout page, order confirmation, or client agreement at the time of purchase.
We may determine that a requested Service is inappropriate or outside our scope and may decline, pause, modify, or discontinue that Service.
3. Separate client agreements
Certain personalized Services may require you to complete or sign a separate:

Client services agreement;

Intake questionnaire;

Medical-clearance acknowledgment; or

Other service-specific document.
If documents conflict, the following order controls:

A signed client services agreement;

4. Educational and non-clinical nature of Services
Valuari provides educational consulting and coaching. Valuari does not provide medical care, mental-health treatment, psychotherapy, nursing care, nutritional treatment, lactation treatment, occupational therapy, physical therapy, diagnosis, or emergency services.
Unless expressly stated in a separate written agreement, neither Valuari nor its consultants are acting as your or your child’s:

Physician or pediatrician;
-
Nurse or nurse practitioner;
-
Psychologist, psychiatrist, counselor, or therapist;
-
Dietitian or nutritionist;
-
Lactation consultant;
-
Occupational or physical therapist; or
-
Other licensed health care provider.
A consultant’s certification, training, public-health background, early-childhood experience, therapeutic-support experience, teaching experience, or parenting experience does not transform consulting or coaching into medical or mental-health treatment.
Using the Website, participating in a consultation, or receiving a personalized plan does not create a physician-patient, therapist-client, or other licensed clinical relationship.
A free introductory or assessment call is provided for general information and service selection. It does not constitute a diagnosis, treatment recommendation, or clinical evaluation.
5. Caregiver responsibility and supervision
You remain responsible at all times for your child’s health, safety, feeding, sleep environment, supervision, and care.
Valuari does not:

Take custody of your child;
-
Provide childcare;
-
Physically supervise your child;
-
Continuously monitor your child;
-
Monitor medical devices or vital signs; or
-
Replace an awake, attentive, and responsible caregiver.
Nighttime, real-time, telephone, or messaging support is advisory. It does not transfer responsibility for your child’s care or safety to Valuari.
You are responsible for deciding whether and how to implement a recommendation. You must not implement any recommendation that:

Conflicts with instructions from a licensed health care provider;
-
Conflicts with current infant safe-sleep recommendations;
-
Appears unsafe or inappropriate for your child;
-
Causes concerning physical, behavioral, developmental, or emotional symptoms; or
-
Cannot be implemented safely in your household.
You must stop implementation and contact an appropriate licensed provider when a medical, developmental, feeding, respiratory, psychological, or safety concern arises.
6. Accurate information and medical clearance
Personalized recommendations depend on the accuracy and completeness of the information you provide.
You agree to provide accurate, complete, and current information concerning matters relevant to the requested Service, including, when applicable:

Your child’s age and corrected age;
-
Birth and medical history;
-
Feeding needs and routines;
-
Medications and supplements;
-
Diagnoses and developmental needs;
-
Allergies, respiratory concerns, or mobility limitations;
-
Sleep environment;
-
Instructions from treating professionals; and
-
Material changes that occur while Services are being provided.
Valuari may request clearance or additional information from a pediatrician or other licensed provider before providing or continuing Services.
We may decline, pause, or discontinue Services if:
-
Information is incomplete or appears inaccurate;
-
A concern appears to require clinical evaluation;
-
The requested assistance is outside our training or scope;
-
A proposed recommendation may conflict with medical instructions;
-
Continuing Services may create a safety or legal risk; or
-
Continuing the professional relationship would otherwise be inappropriate.
7. Packages and communication support
Package features and support periods are limited to those stated in the applicable service description, order confirmation, or client agreement.
References to “unlimited” email, text, telephone, or messaging support mean a reasonable volume of communications directly related to the purchased Service during its stated support period and support hours.
“Unlimited” support does not mean:

Continuous monitoring;
-
Guaranteed immediate responses;
-
Emergency or crisis access;
-
Medical or mental-health assistance;
-
Around-the-clock availability unless expressly included in the purchased Service; or
-
Assistance unrelated to the purchased Service.
Messages are generally answered during the support hours associated with the applicable package. Illness, holidays, emergencies, technical interruptions, and circumstances outside our reasonable control may delay responses.
Unused calls, reviews, messages, or other package components expire at the end of the package period unless Valuari agrees otherwise in writing.
Personalized plans and support packages are limited to the child and household identified during purchase and may not be transferred to another family.
8. Appointments, cancellations, and rescheduling
You are responsible for verifying your appointment date, time, time zone, meeting link, telephone number, and contact information.
Unless a different policy is clearly disclosed at checkout or in a client agreement:

Appointments may be cancelled or rescheduled without an additional charge when Valuari receives at least 24 hours’ notice;
-
An appointment changed with less than 24 hours’ notice may be treated as used and is nonrefundable;
-
A missed appointment or no-show is nonrefundable and may be treated as a completed package component;
-
Arriving late may shorten the appointment without reducing the price;
-
Arriving more than 15 minutes late may result in the appointment being treated as missed; and
-
Rescheduling remains subject to consultant availability.
Exceptions may be made in Valuari’s discretion for documented emergencies. An exception in one situation does not require an exception in another.
If Valuari cancels an appointment, we will offer a reasonable opportunity to reschedule or refund the amount paid for the affected and undelivered appointment.
9. Prices, payments, and refunds
Prices are stated in U.S. dollars unless otherwise indicated. You authorize Valuari and its third-party payment processors to charge your selected payment method for:

The displayed purchase price;
-
Applicable taxes; and
-
Any other charge you separately authorize.
You represent that you are authorized to use the payment method provided.
Payment plans
A payment plan is an installment arrangement for payment of the full purchase price. It is not a month-to-month cancellation option unless expressly described that way at checkout.
Failure to make a required installment payment may result in suspension of Services or access. Amounts attributable to products, plans, consultations, or other Services already delivered remain due.
Personalized Services
Unless different terms are disclosed at checkout or in a client agreement:

A cancellation request received before the first paid appointment and before preparation of customized work begins may qualify for a refund;
-
Once a consultation has occurred or preparation of a customized plan has begun, amounts attributable to completed or customized work are nonrefundable;
-
Completed appointments and delivered plans are nonrefundable;
-
Late-cancelled and missed appointments are nonrefundable; and
-
Any refund for an unused portion of a package is subject to the applicable client agreement and nonwaivable consumer law.
Valuari does not guarantee that payment-processor fees will be refundable.
10. Digital products
Digital guides, planners, courses, plans, checklists, templates, videos, recordings, and downloadable materials are licensed—not sold—to you for personal, noncommercial use within your household.
Unless otherwise stated at checkout, digital products are nonrefundable after they have been downloaded, accessed, delivered, opened, or viewed, except when:

The product is defective;
-
You were charged more than once for the same purchase;
-
Valuari agrees to a refund; or
-
A refund is required by law.
You may not:
-
Copy or distribute digital materials outside your household;
-
Upload them to a shared drive, social-media group, forum, or public platform;
-
Resell, sublicense, publish, or commercially exploit them;
-
Use them to provide consulting or coaching to another person;
-
Remove copyright or proprietary notices; or
-
Represent the materials as your own work.
11. Gift cards and promotional credits
Valuari-issued paid gift cards:

May be used only for eligible Valuari products and Services;
-
Are not redeemable for cash except where required by law;
-
May not be used to purchase another gift card unless permitted at checkout;
-
Have no inactivity fee; and
-
Do not expire unless a different term is clearly disclosed and legally permitted.
Promotional credits, complimentary certificates, prizes, and giveaway awards may have separate expiration dates and eligibility requirements.
Valuari is not responsible for a lost, stolen, or unauthorized gift card unless the purchaser provides sufficient proof of purchase and Valuari agrees to replace it or replacement is required by law.
12. Accounts and account security
Certain Website features may require an account.
You are responsible for:

Maintaining the confidentiality of your login credentials;

Restricting access to your device and account;
-
Providing accurate account information;
-
All activity occurring through your account; and
-
Promptly notifying us of suspected unauthorized access.
We may suspend an account that appears compromised or is being used in violation of these Terms.
13. Electronic communications and signatures
By providing your contact information, you consent to receive communications reasonably necessary to administer your inquiry, purchase, appointment, or Service.
These communications may include:

Appointment confirmations and reminders;

Intake forms;
-
Service-related email or text messages;
-
Payment and order information;
-
Plan delivery; and
-
Administrative notices.
Marketing communications are separate from service communications. You may unsubscribe from promotional emails using the method provided in the message. You may continue to receive transactional and service-related communications.
You agree that electronic records, acceptance boxes, and electronic signatures may have the same legal effect as paper records and handwritten signatures to the extent permitted by law.
Email, text messages, social-media messages, and Website forms are not continuously monitored and must not be used for emergencies.
You may not record a consultation, call, video meeting, or other communication without the prior consent of Valuari and every other person whose consent is legally required.
14. No guarantee of results
Sleep, behavior, potty learning, postpartum adjustment, feeding, and family routines are influenced by many individual and environmental factors outside Valuari’s control.
Valuari does not guarantee:

That a child will sleep through the night;
-
A particular number of hours of sleep;
-
Elimination of night waking, short naps, early waking, regressions, bedtime resistance, or accidents;
-
Results within a particular period;
-
That a specific approach will be appropriate for every child;
-
Improvement in a medical, developmental, feeding, or psychological condition; or
-
That results will continue after Services end.
You are responsible for your participation, consistency, decisions, and implementation. Valuari is not responsible for outcomes caused by incomplete information, inconsistent implementation, changes made without consultation, conflicting caregiver practices, illness, developmental changes, travel, environmental factors, or circumstances outside our control.
15. Reviews and testimonials
Testimonials and reviews describe individual experiences. They do not constitute promises that another family will achieve the same result.
You may provide honest feedback and are not required to provide a positive review.
Valuari will not knowingly condition a refund, discount, product, or other benefit on the submission of a falsely positive review. Any material incentive associated with a review or testimonial should be disclosed as required by law.
Valuari will not publicly use a child’s name, photograph, video, medical information, personalized plan, or family story for advertising without separate written permission from the appropriate parent or legal guardian.
Private information submitted through intake forms, consultations, or support communications is not licensed for marketing merely because it was provided to Valuari.

The Website and its text, service methods, plans, guides, downloads, graphics, branding, logos, photographs, videos, course materials, and other content are owned by or licensed to Valuari and are protected by applicable intellectual-property laws.
Subject to these Terms, Valuari grants you a limited, revocable, nonexclusive, nontransferable license to access the Website and use purchased materials for personal, noncommercial household purposes.
No ownership interest is transferred to you.
“Valuari Sleep,” “Valuari Sleep & Bloom,” associated logos, and related branding may not be used without prior written permission.
17. Prohibited uses
You may not use the Website or Services to:

Violate a law or another person’s rights;

Submit false, fraudulent, defamatory, or unlawful information;

Impersonate another person;
-
Access another person’s account;
-
Introduce malware or harmful code;
-
Interfere with Website security or operation;

Scrape, crawl, reproduce, or systematically extract Website content;

Reverse engineer Website technology;
-
Circumvent access controls;
-
Harass consultants, employees, contractors, or other users;

Resell or redistribute purchased content;
-
Use Valuari materials to provide services to third parties; or
-
Use Website content or purchased materials to train an artificial-intelligence system without written permission.
18. Third-party websites and services
The Website may link to or integrate with third-party services, including:

Booking platforms;
-
Payment processors;
-
Email and text-message providers;
-
Videoconferencing services;
-
Social-media platforms;
-
Analytics providers;
-
Online retailers; and
-
External educational resources.
Valuari does not control and is not responsible for a third party’s content, security, availability, products, services, privacy practices, or terms.
Your use of a third-party platform is governed by that provider’s terms and privacy policy. A link or reference does not necessarily constitute Valuari’s endorsement.
19. Privacy and children’s information
Our collection and use of personal information are described in our Privacy Policy.
Parents and legal guardians may provide information about their children when reasonably necessary for Services. Children may not submit personal information directly to Valuari.
Do not submit emergency information or unnecessary highly sensitive information through ordinary email, Website chat, or social-media messaging. Use designated intake and communication methods when available.
20. Website availability and corrections
We may update, suspend, modify, or discontinue Website content, features, products, or Services at any time.
We do not guarantee that the Website will be uninterrupted, secure, or error-free.
Descriptions, prices, and availability may occasionally contain errors. We may correct an error, cancel an affected order, or issue an appropriate refund when necessary.
21. Disclaimer of warranties
To the fullest extent permitted by law, the Website, Services, digital products, and materials are provided on an “as is” and “as available” basis.
Valuari disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent those warranties may lawfully be disclaimed.
We do not warrant that:

The Website will be secure or free of harmful components;

All errors will be corrected;

Every recommendation will be suitable for every family; or

A product or Service will produce a particular result.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.
22. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, or other conduct for which a limitation is prohibited by law.
To the fullest extent permitted by law, Valuari Sleep and Bloom LLC and its owners, consultants, employees, contractors, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of income, opportunity, data, goodwill, or anticipated benefit.
To the fullest extent permitted by law, Valuari’s total aggregate liability arising from a purchased product or Service will not exceed the amount you paid Valuari for the specific product or Service giving rise to the claim during the 12 months preceding the event.
For a claim arising solely from free use of the Website, Valuari’s aggregate liability will not exceed $100.
These limitations apply regardless of the legal theory asserted and only to the extent permitted by applicable law.
23. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Valuari Sleep and Bloom LLC and its owners, consultants, employees, contractors, and representatives from third-party claims, losses, liabilities, and reasonable expenses arising from:

Public content you submit;

Your infringement of another person’s rights; or

Your intentional misconduct.
This section does not require indemnification for Valuari’s own negligence or conduct for which indemnification is prohibited by law.
24. Suspension and termination
We may suspend or terminate access to the Website or Services if you:

Fail to make a required payment;

Provide materially false information;

Harass or threaten Valuari personnel;

Misuse purchased materials;

Engage in unlawful conduct; or

Create a health, safety, security, or legal risk.
Termination does not eliminate payment obligations for products or Services already delivered.
Provisions concerning payments, intellectual property, disclaimers, liability, disputes, and other provisions that should reasonably survive termination will remain effective.
25. Informal dispute resolution
Before filing a lawsuit concerning these Terms, the complaining party will send a written description of the dispute and requested resolution to:

The parties will make a good-faith effort to resolve the dispute informally for 30 days.
This section does not prevent either party from:

Seeking urgent injunctive relief;

Filing an eligible small-claims matter; or
-
Taking action necessary to preserve a legal filing deadline.
26. Governing law and venue

29. Force majeure
Valuari is not responsible for a delay or failure caused by circumstances reasonably outside its control, including:

Platform or payment-processor failures;

Government action;

30. General provisions
These Terms, together with incorporated policies and applicable transaction documents, constitute the agreement concerning use of the Website.
If a provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.
Failure to enforce a provision is not a waiver.
You may not assign your rights under these Terms without our written consent. Valuari may assign these Terms in connection with a merger, reorganization, sale, or transfer of its business or assets.
Headings are provided for convenience and do not affect interpretation.

1. Educational information only
All information provided through the Website, consultations, questionnaires, sleep plans, potty-learning plans, postpartum coaching, digital guides, messages, calls, videos, social media, and other materials is provided solely for general education and non-clinical coaching.
The information is not medical advice and is not a substitute for an examination, diagnosis, treatment plan, or recommendation from an appropriately licensed health care provider.
2. No medical or therapeutic relationship
Using the Website, participating in a consultation, purchasing a guide, receiving a personalized plan, or communicating with a Valuari consultant does not create a:

Physician-patient relationship;

Nurse-patient relationship;
-
Therapist-client relationship;
-
Mental-health treatment relationship; or
-
Other licensed clinical relationship.
Postpartum coaching is not psychotherapy, psychiatric care, counseling, diagnosis, or treatment for postpartum depression, postpartum anxiety, postpartum psychosis, trauma, or another mental-health condition.
3. Consult licensed health care providers
Consult your child’s pediatrician or other treating clinician before implementing sleep-training, night-weaning, feeding, positioning, scheduling, or environmental changes, particularly when your child:

Was born prematurely or has a corrected age;
-
Has feeding, swallowing, or weight-gain concerns;
-
Has respiratory, cardiac, neurological, developmental, sensory, or mobility concerns;
-
Has reflux, seizures, allergies, chronic illness, or a diagnosed sleep disorder;
-
Uses medication, oxygen, monitoring equipment, or another medical device;
-
Has recently been ill, hospitalized, or undergone a procedure; or
-
Receives individualized instructions from a specialist.
A Valuari recommendation never overrides instructions from a licensed health care provider.
4. Infant safe-sleep practices
Caregivers must follow current safe-sleep recommendations from their child’s licensed health care providers and recognized public-health authorities.
For infants, current recommendations generally include:
-
Placing the baby on their back for every sleep;
-
Using a separate crib, bassinet, portable crib, or play yard that meets applicable safety standards;
-
Using a firm, flat, level, non-inclined sleep surface;
-
Using only a fitted sheet on the sleep surface;
-
Keeping pillows, loose blankets, bumpers, positioners, stuffed toys, and other soft items out of the sleep space;
-
Avoiding sleep on couches, armchairs, and other unsafe surfaces;
-
Moving a sleeping infant from a car seat, stroller, swing, carrier, or other sitting device to an appropriate flat sleep surface as soon as practical;
-
Room-sharing without bed-sharing, preferably for at least the first six months;
-
Avoiding weighted swaddles, weighted sleepwear, or weighted objects;
-
Placing a swaddled infant on their back; and
-
Discontinuing swaddling when the infant begins showing signs of attempting to roll.
CDC and AAP guidance emphasizes back sleeping, a firm and flat sleep surface, a separate infant sleep space, and removal of soft objects and loose bedding. (CDC), product, monitor, method, or consulting Service can eliminate the risk of Sudden Infant Death Syndrome, Sudden Unexpected Infant Death, suffocation, entrapment, strangulation, or another sleep-related injury.
Do not use a product merely because it is marketed as helping a baby sleep. Confirm that the product is appropriate for infant sleep and complies with applicable safety requirements.
5. Feeding, medication, and night-weaning
Do not reduce, delay, eliminate, or materially change any of the following based solely on information from Valuari:

Breast milk or formula intake;
-
Medically required overnight feeding;
-
Solid-food intake;
-
Medication;
-
Supplements;
-
Oxygen;
-
Monitoring equipment; or
-
Other medically directed care.
Night-weaning and feeding changes require approval from the child’s pediatrician or other qualified provider, particularly when there are concerns involving weight gain, prematurity, feeding, swallowing, metabolism, gastrointestinal health, or development.
Do not add cereal or another solid food to an infant’s bottle for the purpose of promoting sleep unless specifically directed by an appropriate licensed provider. CDC guidance states that adding infant cereal or other solid food to a bottle does not make a baby sleep longer and may increase choking risk. (CDC)s requiring professional evaluation
Sleep disruption can sometimes be associated with medical, respiratory, developmental, feeding, or mental-health concerns.
Seek prompt professional evaluation for symptoms including:

Pauses in breathing;
-
Gasping, choking, or persistent loud snoring;
-
Blue, gray, or unusually pale lips or skin;
-
Seizures or unusual movements;
-
Loss of responsiveness;
-
Feeding difficulty;
-
Signs of dehydration;
-
Persistent vomiting;
-
Poor weight gain;
-
Severe or persistent pain;
-
Unusual lethargy or difficulty waking;
-
Fever or signs of significant illness;
-
Sudden or significant behavioral changes; or
-
Any other symptom that causes concern.

7. Postpartum and caregiver mental health
Valuari’s postpartum support is non-clinical. It does not diagnose or treat postpartum depression, postpartum anxiety, postpartum psychosis, trauma, suicidal thoughts, or another mental-health condition.
Contact an appropriate licensed health care or mental-health provider when experiencing symptoms such as:
